Vice President, Global Commercial Strategic Partnering, Privacy and Intellectual Property

The Opportunity:
The Vice President, Global Commercial Strategic Partnering, Privacy and Intellectual Property Counsel will report to and work closely with the SVP, Global Head of Commercial, CLM, Intellectual Property and Privacy, and the wider global commercial and legal teams to oversee and shape Avantor’s intellectual property and data privacy strategies and initiatives worldwide.Key Responsibilities
Global Commercial Strategic Partnering:
- Structure, review and negotiate complex commercial transactions involving Avantor’s global strategic partners.
- Collaborate with key stakeholders, including commercial and sales teams, to strategize deals and ensure Avantor’s interests are protected.
- Stay up to date with contract law and principles in all relevant regions and ensure these are appropriately addressed in commercial agreements.
- Advance efficiencies in negotiations and adequately cover risks across the company globally.
Intellectual Property:
- Direct and plan vision for Avantor’s existing and potential intellectual property portfolio worldwide, covering patents, trademarks, trade secrets and copyrights.
- Provide strategic guidance and counsel on IP-related matters, including risk assessment, competitive analysis, and portfolio valuation.
- Conduct due diligence and freedom to operate analyses for new technologies and products.
- Monitor for unauthorized use of IP, proactively manage infringement cases, and implement strategies to prevent IP misuse.
- Develop global go-to-market patent protection and patent clearance strategies in new geographies.
- Manage adversarial proceedings, including IP litigation, European Oppositions and U.S. IPRs, in collaboration with corporate counsel and outside counsel.
- Foster a culture of innovation and IP awareness across the organization, providing education and training to legal and business colleagues on IP best practices and policies.
- Monitor industry trends, emerging technologies, and competitive intelligence to identify opportunities and risks related to intellectual property.
- Stay abreast of changes in intellectual property laws and regulations globally and ensure that Avantor’s IP strategy remains compliant and adaptive to evolving legal and market landscapes.
Data Privacy:
- Perform global privacy assessments of new and existing business processes (including through data inventory and data protection impact assessments).
- Work closely with Legal, HR and information security teams to improve and streamline contracting processes and procedures related to data protection and security.
- Draft privacy notices and consents for business processes across the organization, and maintain the organization’s privacy and cookie notices on company websites
- Develop and review content for privacy training materials and other communications to increase employee understanding of Avantor’s privacy policies, data handling practices and legal obligations, and to ensure awareness of “best practices” re privacy and data security issues.
- Advise and train members of the legal department on negotiating data processing agreements and handling privacy-related language.
- Ensure compliance and stay abreast of privacy developments affecting Avantor, including GDPR, California Privacy Act, China's Personal Information Protection Law, India's Digital Personal Data Protection Act and developments in Artificial Intelligence. Anticipate potential changes needed to global privacy program to meet new regulatory requirements.
Qualifications
- 15+ years of significant experience in structuring and negotiating complex commercial agreements, reflecting a strong record of success and accomplishment, preferably within a well-respected law firm, or a global, large cap public company.
- Proven track record of excellence in counseling and advising senior management and business leaders on Intellectual Property and Privacy issues.
- A highly collaborative team player capable of developing and maintaining strong, trusted relationships throughout the organization.
- Intellectual curiosity about changing business priorities and circumstances, legal climate, and commercial dynamics around the globe, and how these impact Avantor and the broader life sciences and chemicals industry.
- Impeccable integrity and ethical behavior with a strong commitment to transparency. An excellent listener with high sensitivity to different cultures and backgrounds. Sound judgment and a strong moral compass.
- Juris Doctor (JD) degree from an accredited law school.

Pay Transparency:
The expected pre-tax pay for this position is
$192,000.00 - $320,000.00Actual pay may differ depending on relevant factors such as prior experience and geographic location.
